1. Scope and Acceptance

These Terms of Use ("Terms") govern your purchase and use of finqtool, a standalone macOS menu-bar application distributed through the Mac App Store (the "App"). The App is offered by Finqt LLC-FZ ("Finqt", "we", "us", or "our"), established in Meydan Free Zone, Dubai, United Arab Emirates.

finqtool is a separate product from the finqt iOS mobile application. These Terms apply only to finqtool. The iOS app is governed by a separate Terms of Use at finqt.com/terms.

By purchasing, downloading, installing, or using finqtool, you agree to these Terms and to the finqtool Privacy Policy at finqt.com/finqtoolprivacy. If you do not agree, do not install or use the App.

2. What finqtool Is

finqtool is a Mac menu-bar companion app that displays:

live crypto ticker prices fetched from public market-data sources
funding rates and open-interest data for supported crypto assets
local price alerts you configure on your Mac
local trading notes you type into the app
other at-a-glance market information

finqtool is a standalone, local-first application. It does not require you to create an account, sign in, or connect any exchange or brokerage. It is not a brokerage account, exchange account, or trading venue. We do not execute trades, hold custody of your money or assets, clear transactions, or route orders on your behalf.

3. One-Time Purchase

finqtool is sold as a one-time purchase through the Mac App Store, currently priced at USD 9.99 (regional pricing and applicable taxes may vary and are shown at the point of purchase). There is no subscription, no recurring billing, no in-app purchase, no credit system, and no AI feature tied to this App.

Your purchase relationship is primarily with Apple and the Mac App Store. Apple controls billing, payment collection, and refund handling for Mac App Store purchases. Refund requests must be directed to Apple through the standard App Store refund process. To the maximum extent permitted by law and platform rules, all sales are final once the App has been downloaded and activated.

We cannot independently approve, deny, or override Apple refund decisions for Mac App Store purchases.

4. No Financial, Legal, Tax, or Professional Advice

finqtool is provided for informational and productivity purposes only.

Nothing displayed by the App constitutes, or should be relied on as:

investment advice or investment recommendations
personalized financial planning or suitability analysis
legal, tax, accounting, or regulatory advice
a solicitation, endorsement, or recommendation to buy, sell, hold, or enter any transaction or strategy

You remain solely responsible for your decisions, actions, and outcomes. You should consult qualified professional advisers before making investment, legal, tax, or other material decisions.

5. Market Data

finqtool displays market data, prices, funding rates, open-interest figures, and related signals pulled from public or third-party sources. You acknowledge that:

market data may be delayed, partial, unavailable, stale, or inaccurate
exchange prices may differ from prices shown in the App
we do not independently verify every external source or feed
network availability, operating-system restrictions, and third-party rate limits can interrupt or prevent updates

You must independently confirm material information before relying on it.

6. Local Alerts and Notes

finqtool lets you configure price alerts and write trading notes. Alerts and notes are stored locally on your Mac. They are not synced to any Finqt server, not backed up by us, and not recoverable if you delete the App, erase your Mac, or lose access to your device.

Alerts depend on the App being running or allowed to run in the background, on macOS notification permissions, on your system's network state, and on the availability of third-party market-data sources. We do not guarantee that any alert will be:

delivered at all
delivered only once
delivered on time
accurate or complete
sufficient for your trading, investing, or monitoring needs

Alerts and notes are convenience features only and are not a substitute for your own monitoring or record-keeping. You are solely responsible for backing up notes you care about, maintaining appropriate alert thresholds, and keeping alternative monitoring in place if a delayed or missed alert could cause you harm.

finqtool does not require you to create an account with Finqt. There is no user profile, no password, and no cloud sync. All settings, notes, and alerts live in the standard macOS application-support and keychain locations on your own device.

Because there is no account, there is no account cancellation process. If you wish to stop using finqtool, quit the App and uninstall it. Uninstalling the App deletes its local data unless you have separately backed up the relevant files.

8. Intellectual Property and Limited License

The App, including software, interfaces, design, text, graphics, and branding, is owned by Finqt or our licensors and is protected by applicable intellectual-property laws.

finqtool is licensed, not sold. Subject to these Terms and to the Mac App Store Licensed Application End User License Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use finqtool on Apple-branded devices you own or control, for personal or internal business use.

You may not:

reproduce, distribute, publicly display, republish, or commercially exploit the App except as expressly permitted
reverse engineer, decompile, disassemble, decode, probe, emulate, instrument, intercept, or attempt to discover source code, object code, hidden interfaces, or internal architecture except where applicable law prevents such restrictions
remove, obscure, bypass, or alter proprietary notices or technological protection measures
use the App to build, train, or improve a competing product
redistribute, sublicense, rent, lease, lend, or sell access to the App

Your license to use finqtool terminates automatically if you materially breach these Terms.

9. Acceptable Use

You must not use finqtool for unlawful, fraudulent, abusive, or deceptive conduct; to scrape, benchmark, or systematically extract data or content; to overwhelm or manipulate third-party market-data endpoints through the App; or to circumvent any technical controls. You must not use finqtool in violation of export-control, sanctions, or similar laws.

10. Third-Party Services and Apple-Specific Terms

finqtool may rely on or interoperate with third-party services, including Apple, public market-data providers, and exchange APIs for fetching prices and funding rates. We do not control those third parties and are not responsible for their availability, content, security, or separate terms.

For the Mac App Store app:

these Terms are between you and Finqt, not Apple, except where law or Apple's standard platform rules require otherwise
Apple is not responsible for the App, its content, maintenance, or support except as required by law
to the maximum extent permitted by applicable law, Apple has no warranty or maintenance obligation with respect to finqtool
Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the Mac App Store app and may enforce those Terms against you
the Mac App Store Licensed Application End User License Agreement applies in addition to these Terms; in the event of a direct conflict, the platform EULA controls as to matters it addresses

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINQTOOL IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND COMPATIBILITY.

Without limiting the foregoing, we do not warrant that:

the App will be uninterrupted, secure, or error-free
any market data, price, or funding figure shown will be accurate, complete, current, or suitable for your circumstances
defects will be corrected
the App will prevent losses, identify all risks, or improve your financial outcomes

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

FINQT AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
WE WILL NOT BE LIABLE FOR TRADING LOSSES, LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOSS OF GOODWILL, LOSS OF DATA, DEVICE DAMAGE, OR BUSINESS INTERRUPTION
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO FINQTOOL OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP

These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.

13. Indemnity

You agree to defend, indemnify, and hold harmless Finqt and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

your use of finqtool
your violation of these Terms or applicable law
your infringement or violation of another person's rights

14. Changes to These Terms

We may update these Terms from time to time to reflect product changes, legal requirements, or operational needs. The latest version will be posted at finqt.com/finqtoolterms with an updated effective date. Your continued use of finqtool after the updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using the App and may uninstall it.

15. Governing Law and Dispute Resolution

These Terms and any non-contractual disputes arising out of or relating to them are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

The courts of Dubai, United Arab Emirates will have exclusive jurisdiction over disputes arising out of or relating to these Terms or finqtool, except that either party may seek interim or injunctive relief in any court of competent jurisdiction to protect intellectual property, confidential information, or security interests.

Before filing a formal claim, you agree to contact us at info@finqt.com and attempt in good faith to resolve the matter informally.

You and Finqt agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, or private-attorney-general proceeding to the maximum extent permitted by applicable law.

16. General Provisions

We may assign or transfer our rights and obligations under these Terms.
You may not assign these Terms without our prior written consent.
If any provision is held unenforceable, the remaining provisions will remain in full force.
Our failure to enforce any provision is not a waiver.
These Terms form the entire agreement between you and Finqt regarding finqtool.
Sections that by their nature should survive termination will survive, including sections concerning intellectual property, disclaimers, limitation of liability, indemnity, and dispute resolution.
